The agreement
These terms are an agreement between Oflo (“Oflo”, “we”) and the business that signs up (“you”, “the customer”). By creating an account or using Oflo, you accept these terms on behalf of your business, and confirm that you are allowed to do so.
The privacy policy explains how we handle personal data and is part of this agreement. A signed order form or Enterprise contract takes priority over these terms where they differ.
The service
Oflo is an online platform, with web and mobile apps, to run a fashion brand: products and collections, stock, warehouse, stores and point of sale, online orders and delivery, members, marketing, people, finance and accounting. The spaces and limits available to you depend on your plan.
Oflo helps you keep records and prepare documents such as invoices, payslips and tax files. You remain responsible for checking them and for meeting your own legal, tax and accounting obligations. Oflo does not replace your accountant.
Accounts and team
- Give accurate information and keep it up to date.
- Each person uses their own login. Keep passwords safe and tell us at once if you suspect someone else used your account.
- Your administrators decide who joins your organization and what each role can see and do. You are responsible for what your team does in Oflo.
Plans, prices and payment
- Prices are shown on the pricing page, per month and before VAT. Brands in Tunisia are billed in Tunisian dinars. Brands abroad are billed in euros or US dollars.
- Subscriptions renew each month until cancelled. Add-ons, extra seats and extra spaces are billed the same way.
- You pay in advance for each month. Unless the law says otherwise, months already started are not refunded.
- If a payment fails, we will remind you. If it is still unpaid after 15 days, we may limit your account to read-only until it is paid.
- We may change prices with at least 30 days’ notice. The new price applies from your next billing month, and you can cancel before then.
- Plans and payments are managed on the website. The iOS app does not sell subscriptions.
Trials and approval
New organizations are reviewed by our team before they are switched on. We may offer a free trial or a guided setup. We may refuse an account, for example when the information given is incomplete or the business falls outside what Oflo is built for.
Cancelling
You can cancel at any time from Plan and billing in the web app, or by writing to hello@oflo.studio. Cancellation takes effect at the end of the current billing month. You keep access until then and can export your data. What happens to your data next is explained in your data.
Your data
- Your data stays yours. You keep all rights to the data, files and photos you put into Oflo.
- You give us the right to host and process that data only to provide, secure and support Oflo for you.
- For personal data you put into Oflo, you are the controller and we are your processor. We follow your instructions, keep it confidential, use trusted providers listed in the privacy policy, and help you answer requests from the people concerned. Enterprise customers can sign a separate data processing agreement.
- You must have the right to put that data into Oflo, including personal data of your shoppers and employees.
- After your subscription ends, you have 30 days to export your data. We then delete it within 90 days, except where the law requires us to keep something.
Acceptable use
Do not use Oflo to:
- break the law, or sell counterfeit or illegal goods;
- send spam or messages people did not agree to receive;
- upload malware, or try to reach data that is not yours;
- probe, overload or reverse engineer the platform, or get around limits and permissions;
- resell Oflo or give access to people outside your business without our agreement.
Connected services
Oflo can connect to services you choose, such as WooCommerce, Aramex, Google Analytics or your email server. You need your own account with those services, and their terms apply. We are not responsible for their availability, their changes or their mistakes, but we will help you when a connection breaks.
Availability and support
We work hard to keep Oflo available at all times and to back up your data. Short interruptions can happen, for maintenance or for reasons outside our control. We announce planned maintenance in advance when we can. Support is by email and in the app during Tunisian working days. Enterprise plans can include a written service level and priority support.
Intellectual property
Oflo, its software, design and brand belong to us. Your subscription gives your team a right to use Oflo for your business while it is active. It does not transfer ownership. If you send us ideas or feedback, we may use them to improve Oflo without any obligation to you.
Liability
- Oflo is provided as it is, with care but without a guarantee that it will be free of every error.
- We are not liable for indirect losses, such as lost profit, lost sales or lost opportunities.
- Our total liability for any claim is limited to the amounts you paid us in the 12 months before the claim.
- These limits do not apply where the law does not allow them, for example in case of fraud or gross negligence.
Suspension and termination
We may suspend or close an account that seriously breaks these terms, puts other customers at risk, or stays unpaid. Except in urgent cases, we warn you first and give you time to fix the problem. You can always export your data before an account is closed, unless the law prevents it.
Changes
We may update these terms. For important changes, we tell you by email or in the app at least 30 days before they apply. If you do not agree, you can cancel before the change takes effect.
Governing law
These terms are governed by Tunisian law. We will always try to settle a disagreement by talking first. If that fails, the courts of Tunis have jurisdiction, unless the law of your country gives you a right to go to your own courts.
